The Board of Directors of PRISA (EL PAÍS publishing group) decided, at its meeting this Tuesday, to call the 2021 Ordinary General Shareholders' Meeting for next June 29 at one in the afternoon.

In the event that the necessary quorum did not exist in this first call, the meeting would be held, on second call, the next day at the same time, as reported by the publishing group to the National Securities Market Commission (CNMV).

In the agenda of the meeting, the approval of the accounts, the non-financial information statement and the management of the Board of Directors corresponding to 2020 is proposed.

The board will also address changes in the composition of the Board of Directors.

On the one hand, the appointment of Carmen Fernández de Alarcón as proprietary director (position linked to the condition of shareholder of the company), on behalf of Vivendi ―9.9% of the capital― will be proposed.

In addition, the re-election of Manuel Mirat as executive director will be voted, as well as the appointment of Carlos Núñez as executive director.

Finally, the ratification of the appointments by co-option as independent directors of Rosauro Varo, Javier Santiso and María José Marín will be discussed.

The shareholders will also pronounce on the board's remuneration policy, as well as on changes in the corporate bylaws and in the regulations of the General Shareholders' Meeting.

After the effective incorporation, on May 24, of the new executive president of PRISA Media, Carlos Núñez, within the framework of the operational reorganization undertaken, the CEOs of PRISA Radio and PRISA Noticias, Pedro García Guillén and Alejandro Martínez Peón, respectively, will dissociate themselves of the group in the next few days.

For his part, Augusto Delkáder leaves the editorial direction of the group.
