Engineering acquires 43.2% of Be at 3.45 euros per share

Engineering has signed "the definitive and binding agreements" for the purchase of 58,287. (HANDLE)


(ANSA) - ROME, June 20 - Engineering has signed "definitive and binding agreements" for the purchase of 58,287,622 ordinary shares equal to 43.209% of the share capital of Be at the unit price (taking into account the dividend approved by the shareholders' meeting in an amount equal to 0.03 euros per share) - 3.45 euros per share.

The closing of the transaction, announced in February at the signing of a letter of intent, is expected by 31 December: it will entail the obligation for Enginering to promote a mandatory total takeover bid on the residual Be shares aimed at delisting in the event that it is to hold a stake more than 90%.


   The agreement sees as shareholders of Be 'sellers' TamburiInvestment Partners, Stefano Achermann and the company he controls Innishboffin, Carlo Achermann and the company he controls Carma Consulting.


   "I am pleased to welcome StefanoAchermann and the Be team to the Engineering family, an Italian excellence for the finance market", says the CEO of Engineering, Maximo Ibarra, commenting on the agreement for the acquisition of 43.2% of Be.

Thanks to the support of our shareholders, Bain Capital and NB Renaissance, the integration with Be will allow us to consolidate the role of Engineering as digital champion and to offer our country and the market an even more solid player in consulting and digital transformation services for financial institutions ".
