After making the above proposal, the National Art Board of Directors is now negotiating with the Board of Directors of Convoy on the further details of the proposed partial exchange offer, including the method and time of making the offer, and is considering sending the proposed partial exchange offer to National Art and Convoy. Financial and other information must be included in shareholder documents.
