Judge Amina Simonetti, with an order dated 23 February, has in fact fully accepted the appeal for judicial seizure of the shares of Doom srl (a company managed by Annamaria Berrinzaghi, mother of Fedez ) by Muschio Selvaggio srl, promoted by the lawyer Nicolò Ferrarini of Modena on behalf of Luisolve srl, Luis Sal's company (co-founder of the Muschio Selvaggio podcast, as well as co-author and co-host).

The provision decreed that Luis Sal's company has the right to take over the shares of Fedez's company, thus disempowering the latter in the management of the podcast".

The first steps of the story date back to June 2023: after a few episodes in which Luis Sal did not appear in the podcast, Fedez accused him of having abandoned the project following a heated discussion, with a video entitled "What end has Luis done", claiming to carry on the project alone despite having founded a company together, with equal shares, a few weeks earlier.

Luis Sal responded with a video that immediately went viral - "Tell the mother, tell the lawyer" - in which he announced to the public that he had to defend himself from the accusations and requests for damages brought against him by Fedez's lawyers.

In November 2023, there were rumors launched by the weekly "Chi" of an economic agreement with a confidentiality agreement between the two.

The rumors were subsequently denied by both, in particular by Fedez, who declared through a video published on the podcast channel: "When you have a 50% company, things tend to be resolved in front of a judge, or at least that's what adults do. ".

The provision of 23 February, as further explained in the note, represents one of the few rulings published in Italy on the functioning of the

"Russian roulette" statutory clause

, contained in the articles of association of Muschio Selvaggio srl, the company that publishes the Podcast.

The roulette clause is a clause taken from American and English legal systems which provides that, in the event of a company stalling (particularly in 50/50 companies), one of the two partners has the right to make an offer to buy the shares of the company. other partner.

However, if the latter refuses, he is the first to have to sell the shares.

The mechanism is deliberately created to prevent unfair negotiations.

At the end of 2023, Fedez's company activated the clause by offering to purchase the shares held by Luis' company and thus attempt to exclude him from the podcast.

Luis's unexpected decision to refuse officially put him in the position of buyer of Fedez's shares.

Faced with a fait accompli, Fedez however refused to comply with the statutory rules (which he had also obliged himself to do with the establishment of the company), contesting the functioning of the clause and refusing to sell.

Luis was thus forced to appeal to the court which ruled in his favour.

Now, the note concludes, it is Fedez's responsibility to determine whether he intends to comply with the court ruling, consequently selling his shares before a notary, or whether he wishes to ignore the decision, thus forcing Luis Sal to once again resort to legal action to obtain a sentence which will force Fedez to sell his shares and, consequently, to withdraw (permanently) from the management of the podcast.
