Baiben Healthcare Holdings Co., Ltd. The directors intend to use these properties as main business offices, setting up medical staff assessment centers and other business purposes.

Since one or more applicable percentage ratios of the acquisition are higher than 25% but lower than 100%, the acquisition constitutes a major transaction of the company and therefore must comply with the announcement, reporting and shareholder approval requirements of Chapter 14 of the Listing Rules.
